Contracts:
Negotiation and document preparation in such varied areas as product or
service sales, product design and licensing, distribution, joint ventures,
computer services and satellite usage.

Formation and Corporate Governance:
Formation of new corporations, limited liability companies and other legal
entities, preparation of stockholder and voting agreements, and other
governance documents including special charter, operating agreement and bylaw
provisions. Ongoing maintenance of stockholder records, and preparation
of minutes, consents, and proxy materials for board of director and
stockholder meetings.

Employee Issues:
Advice on employment, consulting, non-competition, and severance
agreements. Creation of option and bonus plans. Employee dispute
resolution and oversight of sexual harassment and employment discrimination
claims.

Environmental:
Oversight of on-site environmental clean ups and Superfund sites.

Litigation/Claim Oversight:
Oversight of litigation and dispute resolution on subjects ranging from
product liability claims, contract, patent infringement and sales representative
issues.
