New Ventures:

The formation and financing of a new corporation which then acquired two
different existing businesses.

The formation of business entities involved in the construction, computer services,
hedge fund, insurance, travel, consulting and other industries.

Acquisitions/Dispositions:
The acquisition programs of several companies (aggregating over 40
transactions) where the primary growth strategy was the acquiring of existing
companies.

The sale of a domestic food products company by splitting the company into two
divisions and selling each to a different buyer.

The acquisition of a pool water trucking company.

Financing:
The recapitalization of a previously completed leveraged buy out using senior
and mezzanine debt, convertible preferred stock and warrants. Represented private equity firms in follow-on rounds of financing involving preferred stock and warrants

For several different clients: senior, subordinated, secured, mortgage loans and
industrial revenue bonds in amounts ranging from $100,000 to over $45 million.

Licensing:
Product design and exclusive licensing agreements for industrial products, computer
services and programs, hotel amenity products, book publishing.

Real Estate:
Commercial leasing (lessor and lessee), mortgage financing, sale of corporate real
estate, including environmental issues, and residential real estate matters.
